Information on the Federal Act on Financial Services

On 1st January 2022, the new Federal Act on Financial Services (FinSA) entered into force governing the provision of financial services by formalising and reinforcing compliance with the principles of loyalty, diligence and transparency in providing such services. In particular, the new regulatory provisions introduce procedures and obligations relating to information, conduct, documentation, reporting as well as organisational measures which have the general aim, on the one hand, of protecting investors as well as ensuring that they act in an informed manner so that their investments are suitable, respectively appropriate, to their financial situation and level of knowledge in the field, and on the other hand to create comparable conditions for the provision of financial services, thus strengthening the reputation and competitiveness of the Swiss financial center. The procedures and measures implemented are described at length and in detail in the document “Financial Services Act (FinSA) Information” (FinSA Information).

Documento Informativo sobre la Ley sobre Servicios Financieros

El 1 de enero de 2022 entró en vigencia la nueva Ley Federal de Servicios Financieros (LSerFi) que regula la prestación de servicios financieros formalizando y haciendo más estrictos los principios de honestidad, diligencia y transparencia en la prestación de dichos servicios. En particular, las nuevas disposiciones reglamentarias introducen procedimientos y obligaciones de información, comportamiento, documentación, presentación de informes así como medidas organizativas que tienen el propósito general, por un lado, de proteger al inversor y asegurar que el mismo actúa en manera informada que la inversión sea idóneas, respectivamente conveniente, a su situación financiera y nivel de conocimiento en el campo, y por otro lado para crear condiciones comparables para la prestación de servicios financieros, fortaleciendo así la reputación y competitividad del centro financiero suizo. Los procedimientos y medidas implementados se describen de manera extensa y detallada en la Información sobre la Ley de Servicios Financieros (Información LSerFi).

Risks Involved in Trading Financial Instruments

The new Financial Services Act (FinSA), in force from 1 January 2022, contains code of conduct provisions with which financial service providers must comply vis-à-vis their clients. It defines the requirements for providing financial services in an honest, diligent and transparent manner and sets out how financial instruments are to be produced and offered. It also makes provision for prospectus duties and requires an easily understandable key information document about the general risks associated with financial instruments.

Swiss deposit assurance

Are my deposits protected under the deposit insurance esisuisse? Yes, like any bank and any securities firm in Switzerland, Banca del Sempione SA is required to sign the Self-regulation “Agreement between esisuisse and its members”. This means clients’ deposits are protected up to a maximum of CHF 100,000 per client. Medium-term notes held in the name of the bearer at the issuing bank are also considered deposits. Depositor protection in Switzerland is provided by esisuisse, and the depositor protection system is explained in detail at https://esisuisse.ch/en.

Shareholders Rights Directive II - SRDII

Directive (EU) 2017/828 (SRDII), which amends Directive 2007/36 / EC, aims to strengthen the rights of shareholders of companies listed on regulated markets based in a member state of European Union (EU) or in another Contracting State of the European Economic Area (EEA) by improving the cross-border flow of information and facilitating the exercise of voting rights at company meetings.
